4. Service Agreement
4.1 Contract Formation
A contract is formed when we accept your event booking and you accept our service proposal. All services are subject to availability and our acceptance of your requirements.
4.2 Service Scope
The specific services, deliverables, timeline, and costs will be detailed in a separate service agreement or proposal document for each event.
4.3 Client Responsibilities
Clients must:
- Provide accurate and complete information
- Make timely decisions and approvals

5. Payment Terms
5.1 Pricing
All prices are quoted in USD unless otherwise specified and are subject to applicable taxes.
5.2 Payment Schedule
Standard payment terms:
- 50% deposit upon contract signing
- Remaining balance due 30 days before event date
- Additional charges due within 14 days of invoice
5.3 Late Payments
Late payments may incur a service charge of 1.5% per month or the maximum rate permitted by law.
6. Cancellation Policy
6.1 Client Cancellation
- More than 90 days: 25% of total contract value
- 60-90 days: 50% of total contract value
- 30-60 days: 75% of total contract value
- Less than 30 days: 100% of total contract value
6.2 Our Cancellation
We may cancel services due to force majeure events, client breach of contract, or circumstances beyond our reasonable control. In such cases, we will refund payments received minus costs already incurred.
7. Liability and Insurance
7.1 Limitation of Liability
Our liability is limited to the total value of the service contract. We are not liable for indirect, consequential, or punitive damages.
7.2 Insurance
We maintain professional indemnity and public liability insurance. Clients are responsible for their own insurance coverage as appropriate.
7.3 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or other force majeure events.
8. Intellectual Property
All event concepts, designs, and materials created by us remain our intellectual property unless specifically transferred in writing. Clients grant us permission to use event photos and details for marketing purposes unless otherwise agreed.
9. Confidentiality
We maintain strict confidentiality regarding client information and event details. We may use anonymized case studies and general references for marketing purposes.
10. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws. We implement appropriate security measures to protect client and attendee information.
11. Dispute Resolution
Any disputes arising from these terms or our services will be resolved through:
- Direct negotiation between parties
- Mediation if negotiation fails
- Arbitration under English law if mediation fails
12. Governing Law
These Terms & Conditions are governed by the laws of England and Wales. Any legal proceedings will be subject to the exclusive jurisdiction of English courts.
13. Changes to Terms
We may update these Terms & Conditions from time to time. Material changes will be communicated to existing clients, and the updated terms will apply to new contracts.
14. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.
